1. Introduction and Acceptance of Terms
1.1 These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and Launzr Private Limited, a company incorporated under the laws of India, having its registered office at 5th Floor, Section-A, B-Hub Maurya Lok, Dak Bunglow, Patna, Bihar, India (“Company”, “We”, “Us”, “Our”), which owns and operates the website whynottrips.com and its associated mobile applications, dashboards and tools (collectively, the “Platform”), branded as Why Not Trips.
1.2 By accessing, browsing, registering on, or using the Platform in any capacity — whether as a Traveler or as an Organizer — you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.
1.3 You represent that you are at least 18 years of age and possess the legal capacity to enter into a binding contract under the Indian Contract Act, 1872. If you are registering on behalf of a business entity as an Organizer, you represent that you have the authority to bind that entity to these Terms.
1.4 These Terms apply in addition to any specific terms, policies, or guidelines applicable to particular features of the Platform, which are incorporated herein by reference and form part of these Terms.
2. Definitions
- "AI Trip Planner" means the artificial-intelligence-powered itinerary generation tool made available to Travelers on the Platform.
- "Booking" means a confirmed reservation made by a Traveler for a Trip listed by an Organizer through the Platform.
- "Organizer" means a person or entity, whether an individual or a business, that lists, promotes, and/or executes Trips through the Platform.
- "Traveler" means an end-user who browses, plans, and/or books Trips through the Platform.
- "Trip" means any travel experience, tour, activity, or itinerary listed by an Organizer on the Platform.
- "Platform Fees" means, collectively, the payment gateway processing fee, the server charge, and the platform handling fee described in Clause 8.
- "Payment Gateway Partner(s)" means the empanelled third-party online payment gateway service provider(s) engaged by the Platform to process online payments.
- "Content" means all text, images, itineraries, listings, reviews, and other material submitted to or displayed on the Platform.
- "Applicable Law" means all applicable statutes, rules, regulations, and orders of India, including the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, the Consumer Protection Act, 2019, and rules made thereunder.
3. Nature of the Platform
3.1 The Platform is an online intermediary and marketplace, within the meaning of Section 2(1)(w) of the Information Technology Act, 2000, that connects Organizers offering Trips with Travelers seeking to book them.
3.2 The Platform is a facilitator only. It is not a travel agent, tour operator, or the contracting party in respect of any Trip. The contract for the provision, execution, and performance of a Trip is formed directly between the Organizer and the Traveler. The Organizer is solely and exclusively responsible for the planning, execution, safety, quality, legality, and delivery of the Trip.
3.3 As a marketplace e-commerce entity, the Platform provides the information and disclosures required under the Consumer Protection (E-Commerce) Rules, 2020, including seller (Organizer) details, grievance redressal mechanisms, and return/refund policies as furnished by Organizers, but does not itself act as a seller of Trips.
3.4 Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between the Platform and any Organizer or Traveler.
4. Account Registration
4.1 Users must register an account to access Booking or listing functionality and must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
4.2 The Platform reserves the right to suspend, restrict, or terminate any account where information provided is found to be false, misleading, or incomplete, or where the account is used in violation of these Terms or Applicable Law.
5. Organizer Onboarding, Verification and KYC
5.1 In the interest of Traveler safety and platform integrity, every Organizer must complete a verification process before listings go live.
5.2 Individual Organizers are required to submit government-issued identity and address proof, PAN details, and bank account details for payout purposes, and must complete Aadhaar-based identity verification as described in Clause 5.3.
5.3 Aadhaar Verification. Where an individual Organizer's identity is verified using their Aadhaar number, such verification is carried out solely via OTP-based Aadhaar authentication, performed through UIDAI-licensed Aadhaar Authentication User Agencies / KYC User Agencies (Aadhaar aggregators), and only after the Organizer's express, informed consent. The Platform does not store the Organizer's full Aadhaar number on its own servers; it retains only a masked reference and the verification status/token returned by the licensed aggregator, as further described in our Privacy Policy.
5.4 Business Organizers are required to submit their certificate of incorporation or registration, PAN of the entity, GST registration details (where applicable), authorized signatory identification, and bank account details in the name of the registered entity.
5.5 The Platform may, at its discretion, request additional documentation, conduct periodic re-verification, or decline, suspend, or revoke onboarding of any Organizer that fails to meet its verification standards or is found to have provided false information.
5.6 Each Organizer represents and warrants that it holds all licenses, permits, registrations, and permissions required under Applicable Law to plan, market, and execute the Trips it lists.
6. Organizer Obligations
6.1 The Organizer is solely responsible for the accuracy and completeness of each Trip listing, including itinerary details, pricing, inclusions and exclusions, safety information, and the cancellation and refund policy applicable to that Trip.
6.2 The Organizer shall execute each Trip substantially as advertised, maintain reasonable standards of safety and quality, and obtain any necessary informed consent, waivers, or disclosures from Travelers regarding activity-specific risks.
6.3 The Platform does not charge Organizers any subscription or license fee to access the Platform, the Organizer dashboard, or the complimentary CRM, QR-based check-in, automated notification, and payment-tracking features described in Clause 11.
6.4 The Organizer shall comply with all Applicable Law relevant to the conduct of its business and the Trips it offers, including tax, labour, safety, and consumer protection laws, and shall be solely liable for any non-compliance.
6.5 The Organizer shall not post or permit any false, misleading, or deceptive content in its listings or promotional material.
6.6 The Organizer shall indemnify, defend, and hold harmless the Platform, its directors, officers, employees, and affiliates from and against any claims, losses, liabilities, damages, or expenses arising out of or relating to the Organizer's acts or omissions, the execution of any Trip, any injury, loss, or damage suffered by a Traveler, or the Organizer's breach of these Terms.
7. Traveler Obligations
7.1 The Traveler shall provide accurate personal and Booking information and promptly update the same where it changes.
7.2 The Traveler shall comply with the Organizer's on-ground instructions, safety briefings, and Trip-specific rules.
7.3 The Traveler acknowledges that travel and travel-related activities carry inherent risks and voluntarily assumes such risks to the extent permitted by law. Travelers are strongly encouraged to obtain their own travel and health insurance prior to undertaking a Trip.
7.4 The Traveler shall not engage in unlawful conduct, cause damage to property, or disrupt any Trip, and shall be responsible for obtaining and carrying any personal travel documents required for the Trip.
8. Bookings, Payments and Fees
8.1 A Traveler completes a Booking by selecting a Trip and making payment through the Platform's empanelled online payment gateway(s). The Platform does not itself store full payment card or bank credentials.
8.2 Fee structure:
- No subscription or listing fee is charged to Organizers for access to the Platform or its CRM/dashboard tools.
- A payment gateway processing fee of 1.99% of the transaction value applies to online payments and is deducted from the amount otherwise payable to the Organizer.
- A server charge of ₹0.99 applies per Booking/transaction and is deducted from the amount otherwise payable to the Organizer.
- A platform handling fee of up to ₹100 per Booking is charged directly to, and payable by, the Traveler in addition to the Trip price, and is disclosed to the Traveler prior to payment.
8.3 All Platform Fees are exclusive of applicable taxes, including GST, which shall be added where applicable.
8.4 Funds collected from Travelers are held in a designated escrow/nodal arrangement maintained by or through the Payment Gateway Partner(s), in line with applicable RBI guidelines, and are released to the relevant Organizer, net of applicable Platform Fees, in accordance with the Platform's standard settlement cycle.
8.5 All amounts on the Platform are quoted in Indian Rupees (₹) unless otherwise stated.
9. Cancellations, Rescheduling and Refunds
9.1 Each Organizer sets, and is solely responsible for, the cancellation, rescheduling, and refund policy applicable to its own Trips, which is disclosed to the Traveler on the Trip listing prior to Booking.
9.2 Where a Traveler is entitled to a refund under the applicable Organizer policy, the refund of the Trip price is processed by the Platform to the Traveler's original payment method, following the Organizer's approval confirming the Traveler's eligibility.
9.3 The payment gateway processing fee, the server charge, and the platform handling fee are non-refundable under all circumstances, including where a Booking is cancelled or the Trip price is refunded.
9.4 Where the Platform cancels a Booking on its own initiative, it will use reasonable efforts to facilitate a refund of the Trip price paid by the Traveler; the non-refundable Platform Fees shall continue to apply unless the Platform, at its sole discretion, decides otherwise.
9.5 Disputes between a Traveler and an Organizer regarding refund eligibility should first be raised with the Organizer, and may be escalated to the Platform's grievance redressal mechanism described in Clause 17 if unresolved.
10. AI-Powered Trip Planner
10.1 The AI Trip Planner uses information voluntarily provided by a Traveler to generate suggested itineraries using the Platform's technology, which may include third-party AI service providers, as described in our Privacy Policy.
10.2 Itineraries and suggestions generated by the AI Trip Planner are provided for informational and planning purposes only. They do not constitute a Booking, a guarantee of availability, pricing, or accuracy. The Platform does not guarantee that any AI-suggested Trip, activity, or price will be available or accurate at the time of Booking.
10.3 To the maximum extent permitted by Applicable Law, the Platform disclaims liability for any loss or inconvenience arising from inaccuracies, errors, or omissions in AI Trip Planner outputs.
10.4 The AI Trip Planner tool, its underlying models, and its outputs are the intellectual property of the Platform or its licensors. A Traveler may use a generated itinerary for their own personal, non-commercial trip-planning purposes only.
11. Organizer Dashboard, CRM and Related Tools
11.1 The Platform provides Organizers, at no subscription cost, access to a unified dashboard for Booking management, a complimentary CRM tool, QR-code-based Traveler check-in, automated Traveler notifications, and payment tracking.
11.2 These tools are provided on an “as is” and “as available” basis. The Platform shall not be liable for any loss arising from reliance on these tools in place of an Organizer's own record-keeping.
11.3 Where an Organizer inputs its own customer or lead data into the CRM, the Organizer is responsible for ensuring it has a lawful basis to collect, store, and communicate with such individuals, including compliance with the Digital Personal Data Protection Act, 2023.
12. Instagram Lead Automation Feature (Upcoming)
12.1 The Platform intends to launch a feature enabling Organizers to connect their own Instagram business account, via Meta Platforms' application programming interfaces, to automate the capture of and response to inbound leads received through Instagram.
12.2 This feature will be subject to Meta's Platform Terms and the Instagram Platform Policy. The Platform is not responsible for any change, restriction, suspension, or discontinuation of this feature resulting from changes made by Meta Platforms, Inc.
12.3 An Organizer enabling this feature is solely responsible for its own compliance with Meta's applicable terms and policies and for obtaining any consents required from its own leads or prospects.
13. Intellectual Property
13.1 All rights, title, and interest in the Platform, including its trademarks, logos, software, the AI Trip Planner, the CRM and dashboard tools, website and application design, and underlying databases, are owned by Launzr Private Limited or its licensors. Except for the limited right to access and use the Platform for its intended purpose, no license or right is granted to any user.
13.2 By submitting Content (including Trip listings, photographs, and descriptions), an Organizer grants the Platform a non-exclusive, royalty-free, worldwide license to host, reproduce, display, and use such Content for the purpose of operating, marketing, and promoting the Platform and the Organizer's Trips.
13.3 No user may copy, reverse-engineer, scrape, or otherwise attempt to extract the Platform's proprietary software, algorithms, or underlying AI models.
14. Third-Party Services and Disclaimers
14.1 The Platform relies on third-party service providers, including online payment gateway(s), Aadhaar verification aggregators, cloud hosting providers, AI technology providers, and Meta Platforms for the Instagram Lead Automation Feature. Each such third party operates under its own terms, and the Platform is not responsible for their acts, omissions, errors, or service interruptions.
14.2 As set out in Clause 3, Trips are planned and executed entirely by Organizers. The Platform makes no representation or warranty regarding, and disclaims all liability for, the quality, safety, legality, accuracy, or fitness for purpose of any Trip.
15. Limitation of Liability and Indemnification
15.1 To the maximum extent permitted under Applicable Law, the Platform's total aggregate liability arising out of or relating to a Booking shall not exceed the Platform Fees actually retained by the Platform in connection with that Booking (i.e., the server charge and the platform handling fee), and shall in no event include the Trip price or the payment gateway processing fee.
15.2 In no event shall the Platform be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of data, or loss of goodwill.
15.3 The Platform shall not be liable for any act or omission of an Organizer, including trip cancellations, delays, accidents, injury, loss, damage, or any third-party claim arising from the execution of a Trip.
15.4 Each of the Organizer and the Traveler agrees to indemnify, defend, and hold harmless the Platform against any claims, damages, liabilities, and expenses arising from their own breach of these Terms, misuse of the Platform, or violation of Applicable Law.
15.5 Nothing in these Terms is intended to exclude or limit any liability that cannot lawfully be excluded or limited under Applicable Law.
16. Service Availability, Modification and Termination
16.1 The Platform may add, modify, suspend, or discontinue any feature at any time, with or without notice, and shall not be liable for any resulting loss or inconvenience.
16.2 The Platform may suspend or terminate any account for breach of these Terms, suspected fraud, or non-compliance with Applicable Law.
16.3 Termination of an account does not affect the rights and obligations of the parties in respect of Bookings made prior to termination.
17. Grievance Redressal
17.1 In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Platform has appointed the following Grievance Officer:

17.2 The Grievance Officer will acknowledge complaints within 48 hours of receipt and endeavor to resolve them within 30 days.
18. Dispute Resolution and Governing Law
18.1 These Terms shall be governed by and construed in accordance with the laws of India.
18.2 Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator appointed by the Platform, seated in Mumbai, Maharashtra, with the proceedings and award in the English language.
18.3 Subject to Clause 18.2, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction over any matter arising out of or in connection with these Terms.
19. Force Majeure
19.1 Neither the Platform nor any Organizer shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, epidemics or pandemics, government action, war, civil unrest, strikes, or failures of third-party infrastructure or payment systems.
20. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy and any feature-specific terms incorporated by reference, constitute the entire agreement between you and the Platform regarding your use of the Platform.
- Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver. No failure or delay by the Platform in exercising any right under these Terms shall operate as a waiver of that right.
- Assignment. The Platform may assign these Terms in connection with a merger, acquisition, or sale of assets. Organizers and Travelers may not assign their rights or obligations without the Platform's prior written consent.
- Amendment. The Platform may update these Terms from time to time. Material changes will be notified to users through the Platform or by email.
- Language. These Terms are drawn up in English, and the English text shall prevail in the event of any conflict with a translated version.
